These Terms and Conditions govern your use of lyfescience.ca and any purchase you make from it. The site is operated by LYFE Science Inc. (“LYFE Science”, “we”, “us”, “our”). By using this site or placing an order, you agree to these terms. If you do not agree, do not use the site.

These terms work together with our Research Use Only policy, our Shipping & Returns policy, and our Privacy Policy. Where a topic is covered in more detail in one of those, that document applies.

1. Who may use this site

You may use this site and place an order only if you are at least 19 years of age, or the age of majority in your province or territory of residence, whichever is greater, and you are legally able to enter into a binding contract. You must be qualified to receive, store, and handle research chemicals safely. By placing an order you confirm that all of this is true.

2. Research use only

Every product sold on this site is supplied strictly for in-vitro laboratory research use by qualified professionals. Products are not drugs, foods, dietary supplements, natural health products, cosmetics, or medical devices. They have not been evaluated or authorized by Health Canada or any other regulatory authority for any therapeutic, clinical, diagnostic, veterinary, or human use. They must not be administered to humans or animals by any route.

Full terms, prohibited uses, and buyer responsibilities are set out in our Research Use Only policy, which forms part of these Terms. Placing an order constitutes acceptance of that policy.

3. Products, descriptions, and availability

We describe our products as accurately as we can. Product descriptions state the class of compound, the research context in which it is commonly studied, and the net quantity supplied. Descriptions do not state an effect in a living organism, and nothing in them should be read as a claim of one.

Analytical values published for a batch, such as purity, come from independent analysis of that batch. Where such a value is not shown, it is because that analysis is not yet available, not because a figure has been withheld. We do not state a value we cannot document.

All products are subject to availability. We may limit quantities, discontinue a product, or correct an error in a description or price at any time without notice. Listing a product is not a guarantee that it is in stock.

4. Pricing and errors

Prices are in Canadian dollars. We may change prices at any time, but a change does not affect an order we have already accepted. We do not charge sales tax on orders at this time.

If a product is listed at an incorrect price because of a typographical or system error, we are not obliged to honour that price. Where an order is affected, we will contact you before dispatch, and you may confirm the order at the corrected price or cancel it for a full refund.

5. Orders and acceptance

Your order is an offer to buy. A confirmation email acknowledges that we received your order; it does not by itself mean we have accepted it. The contract is formed when we dispatch the order. We may decline or cancel an order, before or after payment, for reasons including a product being out of stock, a pricing error, a payment that does not clear, a suspected fraudulent or unlawful order, or an order we have reason to believe is not for laboratory research use. If we cancel an order you have paid for, we refund it in full.

6. Payment

We accept Interac e-Transfer and cryptocurrency (Bitcoin, Ethereum, Solana, USDC, USDT) paid directly to wallets we hold ourselves. We do not accept credit cards and there is no third-party payment processor involved in our store.

Payment must be received before an order is dispatched. For Interac e-Transfer, send the exact amount shown at checkout using the security answer generated for your order. For cryptocurrency, send the amount quoted before the quote expires. An order for which payment has not been received, or has been sent incorrectly, will be held and may be cancelled. How payment is reconciled and what payment data we handle is described in our Privacy Policy.

7. Shipping, delivery, and returns

We ship within Canada only, by Canada Post. Shipping cost, processing time, delivery estimates, tracking, and our returns policy are set out in full in our Shipping & Returns policy, which forms part of these Terms.

In summary: all sales are final, and we refund or replace an order only where you received the wrong item, the order arrived damaged, or Canada Post confirms non-delivery. Problems must be reported within 48 hours of delivery. Delivery estimates are provided by the carrier and are not guaranteed.

8. Buyer responsibilities and lawful use

You are responsible for the safe handling, storage, lawful use, and disposal of everything you purchase, in accordance with your own institutional requirements and all laws that apply to you. You are responsible for knowing whether a compound may be lawfully imported, possessed, or used in your location. Products are not to be resold or redistributed for human or animal use.

9. Accounts

You may check out as a guest or create an account. If you create an account, you are responsible for keeping your login credentials confidential and for activity that occurs under your account. Tell us promptly if you believe your account has been used without your authorization. We may suspend or close an account that is used in breach of these terms.

10. Intellectual property

The content on this site, including text, product descriptions, images, layout, and the LYFE Science name and logo, is owned by LYFE Science Inc. or used under licence, and is protected by law. You may not copy, reproduce, or reuse it for commercial purposes without our written permission.

11. Acceptable use of the site

You agree not to use the site to break the law, to interfere with its operation or security, to access it by automated means without our permission, or to submit false information. We may restrict or withdraw access to anyone who does.

12. No warranty beyond specification

Products are supplied for research use with the specifications stated for the batch. To the fullest extent permitted by law, and except for any specification we expressly state, we make no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Because these products are supplied for research use only, no representation is made that any product is fit for any use other than in-vitro laboratory research.

13. Limitation of liability

To the fullest extent permitted by law, the total liability of LYFE Science Inc. arising out of or relating to a product or an order is limited to the amount you paid for that product. We are not liable for any indirect, incidental, or consequential loss, or for any loss arising from a use of a product other than the in-vitro laboratory research use for which it is supplied. Nothing in these terms limits liability that cannot be limited under applicable law.

14. Indemnity

You agree to indemnify LYFE Science Inc. against claims, damages, and costs arising from your breach of these terms, from your use, handling, or disposal of a product, or from any use of a product other than in-vitro laboratory research.

15. Governing law

These terms are governed by the laws of the Province of Quebec and the laws of Canada that apply there. Any dispute is subject to the jurisdiction of the courts of Quebec.

16. Changes to these terms

We may update these terms from time to time. The version in force is the one published on this page at the time you place an order, shown by the “Last updated” date above. Continued use of the site after a change means you accept the updated terms.
